Terms Of Service Agreement

1. Sign-up

a. Users will be charged a one-time ‘start-up’ fee of seventy-five ($75) dollars.
b. Data conversions are charged on a per job basis.

2. Monthly Fees

a. Users will be charged a minimum monthly fee of twenty ($20) dollars.
b. All other charges are based on the number of vehicle records entered into the system at a rate of

i. 0-50 vehicle records: $1.50 ea.
ii. 51-100 vehicle records: $1.25 ea.
iii. 101+ vehicle records: $1.00 ea.

3. Payment

a. Invoice will be mailed at the end of each month.
b. Payments must be received no later than thirty (30) days following invoice date or a subsequent Late Payment Fee will be assessed to your account.
c. Payments may be made by check payable to:

4. Late Payment

a. Late Payment fees will be assessed as follows:

i. A 7 day grace period will be allotted for payment after the due date given on invoice.
ii. If the grace period is exceeded a Late Payment fee of twenty-five ($25) dollars will be assessed to the account.
iii. If the account is not brought to a current standing within thirty days after due date on invoice, an additional charge of twenty-     five ($25) dollars will be assessed in addition to any other outstanding charges.
iv. If the account is past due more than sixty (60) days a notice of our intent will be mailed, and the account will be suspended.
v. All legal court costs and service charges incurred in collecting payment will be considered an expense and charged to the purchaser.

5. Delivery

a. Users will receive an account number and password in order to access their accounts online.

6. Disclaimer

Gaelic Fleet Systems, Inc. will not be held responsible for downtime or connections lost due to Internet or server faults or third party issues.

GAELIC FLEET SYSTEMS, Inc. ACCEPTS NO LIABILITY WHATSOEVER FOR COSTS CLAIMS DAMAGES OR OTHER LIABILITIES CONSEQUENTIAL OR OTHERWISE (RESULTING FROM THE NEGLIGENCE OF THE OWNER) ARISING OUT OF ANY FAILURE OR DEFECT IN THE SOFTWARE OR ANY PART THEREOF AND ALL WARRANTIES CONDITIONS AND UNDERTAKINGS OR TERMS EXPRESSED OR IMPLIED STATUTORY OR OTHERWISE IN RESPECT OF THE SOFTWARE ARE SPECIFICALLY EXCLUDED TO THE FULLEST EXTENT PERMISSIBLE BY LAW.
